By submitting an application through our website, or by accepting an invitation from us to set up the Institution's account, and accepting these terms, you confirm that:
you are authorised to accept these terms for and on behalf of the Institution;
the Institution is acting for business purposes and not as a consumer; and
all information provided by or on behalf of the Institution in connection with the application or account set-up is accurate, complete and not misleading.
1. The contract
1.1 Application
An Institution may subscribe in one of two ways:
by submitting an application through our website, which is an offer by the Institution to subscribe to our services and to access the Platform on these terms. An application does not by itself create a contract or oblige us to provide any services; or
by accepting an invitation sent by us to set up the Institution's account on the Platform (an Invitation).
1.2 Acceptance
We will review each application submitted through our website to confirm that the Institution is legitimate and relevant to our services. We may accept or reject an application at our discretion.
A contract is formed:
for an application, when we send the Institution an email confirming that we have accepted its application; or
for an Invitation, when a representative of the Institution accepts these terms when accepting that Invitation.
The contract takes effect on the date that email is sent or those terms are accepted (as applicable) (the Acceptance Date).
An automated acknowledgement that an application has been received is not acceptance.
1.3 Contract documents
The contract between us consists of:
these terms; and
the subscription option and other details selected or provided by the Institution as part of its application, or agreed with us in writing in connection with an Invitation.
If there is any conflict between these documents, the following order applies:
these terms; and
the Institution’s application or the subscription details agreed in connection with an Invitation.
This contract exclusively governs the Institution’s subscription to and use of the Platform. Any terms contained in a purchase order or other document issued by the Institution will not apply unless we expressly agree to them in writing.
1.4 Subscription Period
The subscription starts on the Acceptance Date and continues for 12 months (the Initial Subscription Period), unless terminated earlier under these terms.
The subscription does not renew automatically. If renewed under clause 1.5, the subscription will be renewed for an additional 12-month period (Renewal Subscription Period) commencing upon expiry of the Initial Subscription Period (or then-current Renewal Subscription Period).
The Initial Subscription Period and any Renewal Subscription Period are together referred to as the Subscription Period).
1.5 Renewal
We will send a renewal reminder to the Institution’s nominated contact before the end of each Subscription Period. Our failure to send a renewal reminder does not extend the Subscription Period or create a right to renew.
Before the end of the then-current Subscription Period, the Institution will have the option to renew its subscription (or, where available, select an alternative subscription) via the Platform for an additional Subscription Period. The Institution will not be required to make another application to renew. Any and all renewals will be subject to and governed by these terms.
2. Subscription services
2.1 Market and subscription options
The Platform promotes Institutions to prospective graduate students resident in the United States of America. The Institution may choose one of the following subscription options:

Featured: a university profile plus featured placement, including on the Platform homepage; or
Spotlight: the Featured services plus additional premium promotion, as described on our website from time to time.
The Institution’s subscription option will be that selected in its application or agreed with us in writing in connection with an Invitation.

During the Subscription Period, we will provide the services included in the Institution’s chosen subscription option. These may include:
allowing the Institution to promote itself to prospective students in its selected market or markets through our Platform;

that a prospective student will apply to, accept an offer from or enrol with the Institution; or
any particular recruitment, marketing or commercial outcome.
We may provide similar services to other institutions, including institutions operating in the same markets.
2.4 No commission
Unless we expressly agree otherwise in writing, neither party will pay the other any commission, bonus or incentive payment in connection with the services.
3. Fees and payment
3.1 Subscription Fees and pricing
The Institution must pay the fees for its selected subscription option and any renewals (the Fees).
The Fees will be the price advertised by us at the time the Institution submits its application (or as agreed with us in writing in connection with an Invitation), including any discount, promotional code or complimentary period that is expressly available and applicable at that time.
Any discount applied to the Institution’s initial subscription is personal to that subscription and will not apply to a renewal unless we expressly confirm otherwise in writing. Any renewal subscription will be charged at our then-current advertised price at the time of the renewal.
The Fees are payable, via the payment methods available, either:
annually in advance, in full for the entire Initial Subscription Period or Renewal Subscription Period; or
monthly in advance, where a monthly option is offered. Monthly payments remain payable for the whole of the 12-month Subscription Period, which is a minimum term.
Where we agree to invoice the Institution (including against a purchase order), invoices are payable within 30 days of the invoice date. Where we agree in writing to provide a complimentary or discounted period, Fees will be payable at the price agreed for any period after it ends.
If the Institution’s application submitted through our website is rejected, we will issue a refund for the Fees for the Initial Subscription Period via the payment method used within 30 days of the rejection date. No interest is payable on such amounts.
Unless expressly stated otherwise, all Fees are exclusive of applicable VAT and any other sales, use, withholding or similar taxes, duties or levies. Where VAT is properly chargeable, the Institution shall pay it in addition to the Fees on receipt of a valid VAT invoice.
Where the supply is subject to a reverse-charge or equivalent mechanism, the Institution is responsible for accounting for any applicable tax in accordance with the laws of the jurisdiction in which it belongs.
The Institution will provide any information reasonably requested by us to determine the correct tax treatment of the supply of services. If information supplied by the Institution is incomplete or inaccurate, we may charge, or recover from the Institution, any tax, interest, penalties or reasonable costs properly arising as a result.
We may adjust the tax treatment of a subscription, and issue a supplementary invoice or credit note, where this is required by applicable law or where the Institution’s tax status, location or use of the Platform differs from the information previously provided.
3.4 Late payment
If the Institution does not pay an amount when due (or an attempted payment fails for any reason), we may, after reasonable prior written notice:
charge interest on the overdue amount at 4% a year above the Bank of England base rate, accruing daily from the due date until payment is made in full; and/or
suspend access to the Platform and any other services until all overdue amounts have been paid.
The Institution must make all payments in full without set-off, counterclaim, deduction or withholding, except where required by law.

4.1 Account and Responsible Users
The Institution will have one Platform account and must nominate at least one individual as a responsible user (each a Responsible User). The Institution may have more than one Responsible User, and an existing Responsible User may appoint other personnel of the Institution as Responsible Users via the Platform.
Each Responsible User will be responsible for:
managing and safeguarding the account;
ensuring that account access is used only in accordance with these terms;

the Platform will meet all of the Institution’s requirements;
information available through the Platform will be complete or accurate; or
the Platform will be free from viruses or vulnerabilities.
If the Platform does not substantially comply with its documentation because of an issue caused by us, we will use reasonable commercial endeavours to correct that issue. This is the Institution’s sole remedy for that non-compliance.

6.2 Delays caused by the Institution
If our performance is delayed or prevented by the Institution or anyone acting on its behalf, we:
